New Book Explores the Legal Foundations of Decentralized Organization

Oxford University Press has published "The Foundations of Decentralized Organization", bringing together leading voices in corporate and blockchain law - including a contribution by Nina Reiser on DAO legal forms worldwide.

The newly released book The Foundations of Decentralized Organization, edited by Kevin Werbach, Eva Micheler, and Bianca Kremer, is now available with Oxford University Press. The volume features contributions from an outstanding group of corporate law scholars and blockchain law experts, offering a balanced and in-depth analysis of decentralized organizations - from enthusiastic proponents to critical voices and neutral observers.

Nina Reiser contributed an article on DAO Legal Forms Around the World, examining the significant challenges of fitting decentralized autonomous organizations (DAOs) into existing legal company forms. Her research highlights that commonly used structures - such as the Cayman Islands foundation company, Guernsey’s Special Purpose Trust, or Switzerland’s association - are not fully tailored to the unique features and future needs of DAOs. The contribution discusses recent legislative initiatives, the role of the DAO Model Law as a foundation for legal certainty, and the need for further jurisdiction-specific reforms and research.
